to provide a $5,000,000 secured subordinated debtor-in-possession (DIP) advance facility 
to Vanguard to ensure uninterrupted wafer fab runs through Q2 2027. This advance is not 
recorded on the Form 10-K balance sheet as of December 31, 2026, as the credit agreement 
closed subsequent to year-end on January 18, 2027.

2. Software Amortization Sensitivity
The reduction of the implementation amortization period from 36 to 24 months reduced 
reported net income for FY2026 by approximately $3.4 million compared to the prior 
accounting baseline. Underwriters and acquisition models should normalize EBITDA by
